What Is the Place of Effective Management (POEM)?

Place of Effective Management (POEM) is a corporate tax residence test, used in treaties and some national laws, identifying where key management decisions are made.

Also known as: POEM, Effective Management Test.

How Place of Effective Management (POEM) works

Place of Effective Management (POEM) determines where a company is resident when domestic rules treat the company as resident in two countries, or, under some national laws, whether a foreign-incorporated company becomes resident at all, by locating where the key management and commercial decisions needed for the business as a whole are in substance taken. HMRC guidance describes POEM as generally the place of the head office, meaning the central directing source rather than the registered office, where senior directors, company records and senior administrative staff would normally be found. HMRC adds that POEM and the UK central management and control test are not necessarily identical, although in the vast majority of cases both are located in the same place. Some treaties, such as the UK–Canada treaty cited by HMRC, resolve dual corporate residence only by competent authority agreement, and more recent treaty practice has moved in the same direction. Remote board meetings, founders travelling between countries and directors acting on instructions can each blur the analysis, so outcomes depend on the facts, on domestic law and on the applicable treaty.

Place of Effective Management (POEM) vs Central Management and Control

Unlike Central Management and Control, a UK case-law test focused on where the board exercises strategic control, Place of Effective Management looks at where key management and commercial decisions are taken in substance, and HMRC treats the two as related but not necessarily identical. Both tests look past the registered office to the place where real authority over the company is exercised.

Example

Illustrative example: A founder incorporates a company in Country A but lives in Country B, where the founder signs contracts, sets pricing and approves budgets from a home office. Country B's domestic law may treat the company as resident because management is exercised there, while Country A treats the company as resident by incorporation, creating dual residence and potential double taxation of the same profits. If the treaty between Country A and Country B uses a POEM tie-breaker, the analysis turns on where key decisions are actually made, and board minutes, travel records and email approvals become central evidence; if the treaty instead requires competent authority agreement, treaty benefits may be restricted until the authorities agree. Appointing a resident board in Country A changes little if the board merely ratifies decisions already taken by the founder in Country B.

Common misconception

Myth: Registering a company in a low-tax country is enough to make the company tax resident there.

Reality: Corporate tax residence can follow the Place of Effective Management, so a company run day to day from another country may be treated as resident where key decisions are actually made.

Frequently asked questions

What is the place of effective management of a company?

Place of Effective Management is generally the place where key management and commercial decisions for a company's business are in substance made; HMRC describes POEM as the head office or central directing source, not the registered office.

Can a company be tax resident where its director lives?

A company can be treated as tax resident where a sole director lives if key management decisions are made there, depending on national residence rules and any treaty tie-breaker; Place of Effective Management analysis turns on facts, not registration.

Is POEM the same as central management and control?

Place of Effective Management and central management and control are related but, according to HMRC, not necessarily identical, although in the vast majority of cases both are located in the same place.

What happens if a company is resident in two countries?

A dual-resident company is generally allocated to one country by the applicable treaty tie-breaker, which may rely on Place of Effective Management or require competent authority agreement, and treaty benefits can be restricted until residence is resolved.
