## What Is a Withholding Certificate?

A Withholding Certificate is a tax form which documents a payee's status and any treaty claim, allowing a payer to apply the correct withholding rate.

*Also known as: W-8 certificate, Certificate of foreign status.*

## How Withholding Certificate works

A Withholding Certificate is completed by the payee and given to the withholding agent before payment, which relies on the certificate to decide whether withholding applies to the payment and at which rate, for example the statutory rate or a reduced treaty rate. Under US rules, Form W-8BEN establishes non-US status and can claim treaty benefits. The form generally stays valid until the end of the third calendar year after signature unless facts change. Certificates are kept by the payer and are not filed with the tax authority, and other countries use their own forms and validity rules.

## Withholding Certificate vs Certificate of Tax Residence

Unlike a Certificate of Tax Residence, which a tax authority issues, a Withholding Certificate is completed and signed by the payee and given to the payer.

## Example

Illustrative example: A photographer resident in Country A licenses images to a US agency. The agency requests a Withholding Certificate, and the photographer completes Form W-8BEN to document foreign status and the treaty rate; under IRS instructions, the form signed in one year generally remains valid until the end of the third following calendar year.

## Common misconception

**Myth:** A W-8 form has to be sent to the IRS to take effect.

**Reality:** A Withholding Certificate such as Form W-8BEN is given to the requesting payer or financial institution and is not sent to the IRS, according to IRS instructions.
