## What Is a Special Economic Zone (SEZ)?

A Special Economic Zone (SEZ) is a designated area under national law with customs, tax and investment rules distinct from the wider country.

*Also known as: SEZ, Economic Zone.*

## How Special Economic Zone (SEZ) works

A Special Economic Zone (SEZ) is created by national legislation which designates an area and grants licensed businesses operating there distinct treatment, such as customs duty suspension, reduced corporate income tax, tax holidays or simplified regulation, in exchange for conditions on activity, investment and local operations. UNCTAD's World Investment Report 2019 reports that zones worldwide grew to more than 5,000\. Benefits generally depend on licensing and substance, and shareholders' residence countries, controlled foreign company rules and the global minimum tax may still tax zone profits.

## Special Economic Zone (SEZ) vs Free Zone

Unlike a narrow Free Zone, which focuses mainly on customs and trade facilitation, a Special Economic Zone (SEZ) usually combines customs, tax and wider regulatory incentives under a dedicated legal regime.

## Example

Illustrative example: A founder resident in Country A sets up a licensed company in an SEZ of Country B. The company may pay reduced corporate tax in Country B if it meets activity and substance conditions, while Country A may still tax the founder on dividends or, under controlled foreign company rules, on undistributed profits.

## Common misconception

**Myth:** Registering a company in a special economic zone removes tax obligations for the owner.

**Reality:** A Special Economic Zone (SEZ) regime generally affects only the company's local treatment, while the owner's personal tax residence rules continue to apply to dividends, salaries and attributed income.

## Frequently asked questions

### What is the difference between an SEZ and a free zone?

A Special Economic Zone (SEZ) usually bundles tax, customs and regulatory incentives, while a free zone often centres on customs-free storage and trade; national laws use both labels differently, so definitions vary by country.

### Do special economic zones offer tax incentives?

A Special Economic Zone (SEZ) commonly offers reduced corporate tax, tax holidays or duty exemptions, subject to licensing, activity and substance conditions set by national law and to minimum tax rules.
