## What Is a Shell Company?

A Shell Company is a legal entity with little or no operational substance, used as a holding or conduit vehicle in corporate and tax contexts.

*Also known as: Shell Entity, Letterbox Company.*

## How Shell Company works

A Shell Company is an entity which holds assets, receives income or passes payments onward with few or no staff and no active business of its own, and tax authorities assess shell status through substance indicators such as premises, directors, local decision-making and bank accounts. The European Commission's Unshell proposal of 22 December 2021 would require undertakings exceeding gateway thresholds, including more than 75 percent relevant income, to report minimum-substance indicators. Under that proposal, an undertaking failing to rebut a presumption of no minimum substance would lose treaty and certain directive benefits, and its residence certificate would be denied or qualified. The Legislative Observatory still listed the proposal as awaiting final decision in October 2026, so domestic substance rules, anti-abuse rules and treaty principal purpose tests remain the operative tools.

## Shell Company vs Holding Company

Unlike a Holding Company, which may hold shareholdings with adequate management and substance, a Shell Company is characterised by the absence of real operations, which exposes treaty and directive benefits to challenge.

## Example

Illustrative example: An entrepreneur resident in Country A routes royalties through a company in Country B with no employees and no local decision-making. Country A or the source country may disregard the company under anti-abuse rules and tax the income as if received directly.

## Common misconception

**Myth:** Registering a company in a low-tax country moves income there regardless of where work and decisions take place.

**Reality:** Tax authorities generally look through a Shell Company lacking substance, applying residence, permanent establishment, CFC or anti-abuse rules where decisions and work actually occur.

## Frequently asked questions

### Is a shell company illegal?

A Shell Company is not illegal in itself, since many lawful holding vehicles have limited operations, but tax, anti-money-laundering and beneficial ownership rules may deny benefits or require disclosure where substance is lacking.

### How do tax authorities treat shell companies?

Tax authorities generally test a Shell Company against substance, management and anti-abuse rules, and may deny treaty benefits, attribute income to owners or treat the entity as resident where control is actually exercised.
