## What Is a Resident Company?

A Resident Company is a corporate entity treated as tax resident in a jurisdiction under national criteria such as incorporation or central management and control.

*Also known as: Tax-Resident Company, Domestic Company.*

## How Resident Company works

A Resident Company is a company which domestic law treats as tax resident, generally because the company was incorporated there or because central management and control or effective management is exercised there, and resident status usually brings worldwide profits within the corporate income tax of that country. Under United Kingdom law, a company incorporated in the United Kingdom is UK resident for Corporation Tax purposes even if another rule of law gives a different place of residence. HMRC treats a company incorporated elsewhere as UK resident where central management and control is exercised in the United Kingdom, described as primarily a question of fact. Because criteria vary, one company may be resident in two states, and a double tax treaty tie-breaker then generally assigns residence for treaty purposes, subject to local rules.

## Resident Company vs Corporate Residence

Unlike Corporate Residence, which names the tests deciding where a company is resident, a Resident Company designates the entity which has met those tests and carries the resulting obligations.

## Example

Illustrative example: A founder incorporates a company in Country B, which applies an incorporation test, yet takes every board decision from Country A, which applies a management test. Both countries may treat the entity as a Resident Company, and any treaty between the two countries decides which residence prevails.

## Common misconception

**Myth:** A company is resident only in the country where the company is registered.

**Reality:** Many countries also treat a foreign-incorporated entity as a Resident Company where central management and control is exercised on their territory, subject to treaty tie-breakers.

## Frequently asked questions

### What makes a company a resident company?

A company generally becomes a Resident Company through incorporation in a country or through central management and control or effective management exercised there, depending on the criteria set by national law.

### Can a foreign company be resident in another country?

A foreign-incorporated company can be a Resident Company of another country where national law applies a management test, such as the UK central management and control test, and board-level decisions are taken there.
