## What Is a Qualified Intermediary (QI)?

A Qualified Intermediary (QI) is a US withholding-tax status held by a foreign financial institution which has signed a QI Agreement with the IRS.

*Also known as: QI, Qualified Intermediary Status.*

## How Qualified Intermediary (QI) works

A Qualified Intermediary (QI) is a foreign bank, broker, insurer or other intermediary, or a foreign branch of a US person, which has entered into a QI Agreement with the IRS and therefore acts as a withholding agent for US-source payments made to its account holders under US chapters 3 and 4 rules. QI status generally lets the institution document clients under its own anti-money-laundering and customer due diligence procedures instead of passing each client's form to the upstream payer. A QI may operate as a non-disclosing intermediary or, in some cases, disclose payee documentation to its withholding agent, which generally shifts withholding and reporting upstream. Status lasts only while the agreement remains in force and the compliance programme, including a review every three years, is maintained.

## Qualified Intermediary (QI) vs Withholding Agent

Unlike a Withholding Agent in general, which covers any person paying US-source income subject to withholding, a Qualified Intermediary is a foreign intermediary holding the role under a signed agreement with the IRS.

## Example

Illustrative example: A remote worker resident in Country B holds US exchange-traded funds through a broker in Country A which is a Qualified Intermediary. The broker collects a withholding certificate and residence evidence, applies the rate matching the documented status to US dividends, and reports under its agreement.

## Common misconception

**Myth:** Investing through a Qualified Intermediary removes any need to report the income at home.

**Reality:** A Qualified Intermediary handles US withholding and reporting at source, while the investor's own filing duties depend on residence, citizenship and local rules.

## Frequently asked questions

### Does a qualified intermediary disclose clients to the IRS?

A Qualified Intermediary reports to the IRS as its QI Agreement requires; the level of client detail depends on the agreement's rules, each client's status and whether the QI acts as a disclosing intermediary.
