## What Is the OECD Model Tax Convention?

The OECD Model Convention is a non-binding tax treaty template with official commentary, which countries use when negotiating bilateral double tax treaties.

*Also known as: OECD Model Tax Convention on Income and on Capital, OECD Model Treaty.*

## How OECD Model Convention works

The OECD Model Convention is the reference text, formally the Model Tax Convention on Income and on Capital, from which most bilateral double tax treaties are drafted, allocating taxing rights between a residence state and a source state and setting relief methods for double taxation. The Model carries no legal force by itself: obligations arise only once two countries sign and ratify a treaty, which may depart from the Model text on any article. Key articles define who is a resident and resolve dual residence through tie-breaker tests, define a permanent establishment, allocate business profits, employment income, dividends, interest and royalties, and provide for mutual agreement procedures and exchange of information, while the accompanying Commentary explains each article and is widely consulted by courts and tax authorities when interpreting treaties based on the Model. The current consolidated version reflects the Model as it read on 21 November 2017, incorporating changes from the OECD/G20 BEPS project, such as a preamble against treaty abuse, a principal purpose test and a narrower agency permanent establishment threshold. Because each treaty may follow an older version of the Model, the applicable wording always depends on the specific treaty in force and any amendment by the Multilateral Instrument.

## OECD Model Convention vs United Nations Model Convention

Unlike the United Nations Model Convention, which generally preserves broader source-country taxing rights to favour capital-importing developing countries, the OECD Model Convention leans towards residence-based taxation reflecting the positions of OECD member economies.

## Example

Illustrative example: A software developer spends part of the year in Country A and part in Country B, and both countries claim the developer as tax-resident under domestic law. Because the Country A–Country B treaty follows the OECD Model, the residence article applies tie-breaker tests in sequence: permanent home, centre of vital interests, habitual abode, then nationality, before a mutual agreement procedure between the two competent authorities as a last resort. If the developer is treaty-resident in Country B, the employment article generally allows Country A to tax salary only where the conditions for source taxation of employment are met, and Country B relieves any double taxation under the treaty's elimination article. Since the actual signed treaty may deviate from the Model in several respects, the outcome depends on the signed text. For the United Kingdom, HMRC notes that domestic legislation was updated for chargeable periods beginning on or after 1 January 2026 to follow the 2017 OECD Model agency permanent establishment wording, illustrating how Model updates can reach domestic rules over time.

## Common misconception

**Myth:** The OECD Model Convention itself protects nomads from double taxation between any two countries.

**Reality:** The OECD Model Convention creates no rights by itself, so relief depends on whether a treaty between the two countries is in force and on that treaty's actual wording.

## Frequently asked questions

### Is the OECD Model Tax Convention legally binding?

The OECD Model Tax Convention is not legally binding; only bilateral treaties signed and ratified by two countries create obligations, although tax authorities and courts often consult the Model's Commentary when interpreting treaties based on it.

### What is the difference between the OECD and UN model conventions?

The OECD Model Tax Convention generally favours residence-country taxation, while the United Nations Model Convention preserves broader source-country taxing rights, reflecting the interests of developing, capital-importing countries.

### What changed in the 2017 OECD Model?

The 2017 OECD Model Tax Convention incorporated BEPS outcomes, including an anti-abuse preamble, a principal purpose test and a revised dependent agent permanent establishment test which no longer requires authority to conclude contracts.

### Which OECD Model articles matter most for digital nomads?

For digital nomads, the OECD Model Tax Convention articles on residence and tie-breakers, permanent establishment, business profits, employment income and elimination of double taxation usually matter most, subject to each treaty's wording.
