## What Is the Main Purpose Test?

Main Purpose Test refers to an anti-abuse standard denying a tax advantage when securing the advantage was a main purpose of an arrangement.

*Also known as: Main Purpose Rule, One of the Main Purposes Test.*

## How Main Purpose Test works

Main Purpose Test is an anti-abuse condition found in domestic tax legislation, EU directives and some treaty provisions, which asks whether obtaining a tax advantage was the main purpose, or one of the main purposes, of a transaction or arrangement, and which removes the advantage when the answer is yes. The EU Anti-Tax Avoidance Directive, for example, requires Member States to ignore arrangements put in place for the main purpose or one of the main purposes of obtaining a tax advantage which defeats the object or purpose of the applicable tax law and which are not genuine. An arrangement is non-genuine where valid commercial reasons reflecting economic reality are absent. Outcomes depend on all facts and circumstances and on how each jurisdiction words its test.

## Main Purpose Test vs Principal Purpose Test

Unlike the Principal Purpose Test, the treaty clause introduced through the OECD BEPS project, Main Purpose Test is a broader label for purpose-based anti-abuse wording in domestic statutes, EU directives and individual tax provisions.

## Example

Illustrative example: A consultant moves an existing client contract into a newly formed company in Country A to access a lower corporate rate, with no staff or premises. A main purpose test in Country A's law may allow the tax authority to disregard the arrangement and tax the income as if the contract had remained personal.

## Common misconception

**Myth:** Any arrangement with some commercial reason automatically passes a main purpose test.

**Reality:** A Main Purpose Test can apply where a tax advantage was one of the main purposes even when commercial reasons also exist, depending on the wording of the specific provision.
