## What Is a GAAR (General Anti-Avoidance Rule)?

GAAR (General Anti-Avoidance Rule) is an anti-abuse provision under which tax authorities disregard non-genuine, mainly tax-driven arrangements, under criteria set by national law.

*Also known as: General Anti-Abuse Rule, GAAR.*

## How GAAR (General Anti-Avoidance Rule) works

GAAR (General Anti-Avoidance Rule) applies when a tax authority considers that an arrangement, or a series of steps, was put in place mainly to obtain a tax advantage which defeats the object or purpose of the relevant tax law and lacks genuine commercial substance, allowing the authority to recalculate tax as if the arrangement did not exist. In the European Union, Article 6 of the Anti-Tax Avoidance Directive requires Member States to ignore such non-genuine arrangements for corporate tax purposes, with national rules applying from 1 January 2019\. The United Kingdom GAAR, in Part 5 of the Finance Act 2013, covers arrangements entered into on or after 17 July 2013, with guidance approved by an independent Advisory Panel. Tests, burden of proof, penalties and the taxes covered differ by country, so outcomes generally depend on domestic legislation and case law.

## GAAR (General Anti-Avoidance Rule) vs Tax Evasion

Unlike tax evasion, which involves concealment or false reporting and can lead to criminal sanctions, GAAR (General Anti-Avoidance Rule) targets disclosed, formally lawful arrangements treated as abusive. A GAAR counteracts the tax advantage, while targeted rules such as CFC or interest limitation rules address narrower situations.

## Example

Illustrative example: A consultant resident in Country A transfers client contracts to a new company in Country B but keeps performing all work from Country A, with no staff, premises or decision-making in Country B. If the Country A authority concludes that the main purpose was a tax advantage and that the arrangement does not reflect economic reality, its GAAR may allow the income to be taxed as if the arrangement had not been put in place, subject to appeal rights.

## Common misconception

**Myth:** A structure complying with the literal wording of every tax provision cannot be challenged.

**Reality:** GAAR (General Anti-Avoidance Rule) provisions can apply precisely where each step is formally compliant but the overall arrangement is non-genuine and mainly tax-driven, depending on national law.
