What Is Form W-8EXP?
The foreign government and organization withholding certificate is an IRS form under which foreign governments, central banks and foreign tax-exempt bodies claim US withholding exemptions.
Also known as: Certificate of Foreign Government or Other Foreign Organization, W-8EXP form.
How Form W-8EXP works
Form W-8EXP is given to a US withholding agent by a foreign government, international organization, foreign central bank of issue, foreign tax-exempt organization, foreign private foundation or US territory government to establish non-US status and claim a reduced rate of, or exemption from, US withholding on US-source income. Eligibility rests on specific Internal Revenue Code provisions, namely sections 892, 895, 501(c) and 115(2), each with its own conditions. Income effectively connected with a US trade or business is documented on Form W-8ECI instead, and section 892 does not exempt income from commercial activity. The form is never sent to the IRS and generally stays in effect indefinitely unless circumstances change, subject to exceptions in the instructions.
Form W-8EXP vs Form W-8BEN-E
Unlike Form W-8BEN-E, which ordinary foreign entities use to document status and treaty claims, Form W-8EXP is reserved for governments, international organizations, central banks and foreign tax-exempt bodies claiming exemptions under specific Code sections.
Example
Illustrative example: A charitable foundation established in Country A holds US shares through a US broker. Instead of Form W-8BEN-E, the foundation gives Form W-8EXP to the broker, citing its status as a foreign tax-exempt organization, and the broker applies the withholding outcome which the relevant Code section allows.
Common misconception
Myth: Any foreign foundation can use Form W-8EXP to receive US dividends without withholding.
Reality: Form W-8EXP applies only where the foundation meets the conditions of the cited Code provision, and income from commercial activity or effectively connected income falls outside the form.
