## What Is Corporate Residence?

Corporate Residence refers to the tax status under which a company is resident in a jurisdiction, based on incorporation or management criteria under national law.

*Also known as: company tax residence, corporate tax residency.*

## How Corporate Residence works

Corporate Residence determines which country may tax a company on its worldwide profits, and national law generally decides it through an incorporation test, a management test such as central management and control or place of effective management, or a combination of both. Under United States rules, an entity created or organized under federal or state law is domestic, so the place of organisation governs. United Kingdom law treats a company as resident if incorporated in the United Kingdom, with certain exceptions, or if central management and control of the business is exercised there, which HMRC describes as primarily a question of fact. Because states combine these tests differently, a company may be dual resident, in which case a double tax treaty tie-breaker, or under the post-2017 OECD approach a mutual agreement between competent authorities, generally settles residence for treaty purposes. Losing residence can carry consequences such as exit taxation under ATAD Article 5 within the EU, and the criteria and their application remain subject to local rules.

## Corporate Residence vs Permanent Establishment

Unlike a permanent establishment, which gives a host country taxing rights over profits attributable to a fixed place or agent, corporate residence makes the company itself resident and generally exposes worldwide profits to tax.

| ----------------- | ------------------------------------------------------------------------------------------- | ------------------------------------------------------------------------ |
| Scope of taxation | Generally worldwide profits of the company, subject to exemptions and treaty relief | Only profits attributable to the PE in the host country |
| Typical trigger | Incorporation, or where central management and control or effective management is exercised | Fixed place of business or dependent agent in another country |
| Founder relevance | Board decisions taken where a founder lives may relocate residence | Habitual contract work by a founder abroad may create a taxable presence |

## Example

Illustrative example: A founder incorporates a consulting company in Country A, a state applying an incorporation test, then moves to Country B, a state applying a management test, and takes every strategic decision from a home office there. Country A still treats the company as resident because of incorporation, while Country B may treat the company as resident because central management is exercised on its territory. If Country A and Country B have a double tax treaty, the residence article decides which state counts as the treaty residence, either through a place-of-effective-management test or through a mutual agreement procedure, depending on the treaty wording. Without a treaty, both states may claim to tax worldwide profits, leaving only unilateral relief such as a foreign tax credit, if available under domestic law.

## Common misconception

**Myth:** A company registered in a low-tax country is resident only there, wherever the founder lives and works.

**Reality:** Countries applying a management-based test may treat a foreign-incorporated company as resident where central management and control or effective management is actually exercised, which can be where the founder lives.

## Frequently asked questions

### How is the tax residence of a company determined?

Corporate Residence is generally determined by national law through an incorporation test, a management test such as central management and control or place of effective management, or both, with treaties resolving conflicts between states.

### Can a company be tax resident in two countries?

A company can be resident in two countries when one applies an incorporation test and the other a management test; a double tax treaty tie-breaker or a mutual agreement between competent authorities then generally allocates treaty residence.

### Does a foreign company become resident where its director lives?

A foreign company may become resident where its director lives if that country applies a management-based test and the director exercises central management and control there; the outcome depends on facts and on local rules.
