## What Is Corporate Migration?

Corporate Migration refers to a cross-border corporate law and tax process under which a company relocates a registered office or tax residence to another jurisdiction.

*Also known as: company migration, cross-border transfer of seat.*

## How Corporate Migration works

Corporate Migration applies when a company changes the country of its registered office, its place of effective management or both, and the outcome depends on the company law of the departure and destination states and on the residence tests each state uses for corporate tax. In the EU, Directive 2019/2121 allows a cross-border conversion in which a company transfers at least its registered office to another Member State while retaining legal personality. A move of tax residence can also occur without any filing, for instance when directors begin exercising central management and control in another country. Under ATAD Article 5, a transfer of tax residence out of an EU Member State generally triggers exit tax on the market value of transferred assets, except assets remaining connected with a local permanent establishment, subject to national transposition.

## Corporate Migration vs Redomiciliation

Unlike redomiciliation, which describes the company-law transfer of a registered office, corporate migration also covers a change of tax residence, which may happen through relocation of management alone.

## Example

Illustrative example: A two-founder software company is incorporated in Country A, a state treating every company incorporated under its law as resident. Both founders move to Country B and hold every board meeting and strategic decision there. Country B may treat the company as resident under domestic law while Country A still claims residence through incorporation, so the treaty tie-breaker decides, and a loss of Country A residence may trigger an exit charge on unrealised gains.

## Common misconception

**Myth:** A company stays tax resident in the country of incorporation as long as the registered office does not move.

**Reality:** Many countries also tax a company as resident where central management and control or effective management is exercised, so relocating directors can shift tax residence without any registry change.

## Frequently asked questions

### Can a company move to another country?

A company can move to another country where both legal systems permit outbound and inbound transfer of seat; within the EU, Directive 2019/2121 provides a cross-border conversion procedure retaining legal personality, while other countries may require liquidation and re-incorporation.

### Does moving a company abroad trigger exit tax?

Corporate Migration out of an EU Member State generally triggers exit tax under ATAD Article 5 on the market value of transferred assets, except assets remaining connected with a local permanent establishment, with instalment deferral available in defined cases.
