## What Is Check-the-Box?

Check-the-Box refers to the United States entity classification regime under which an eligible business entity elects corporate, partnership or disregarded status for federal tax purposes.

*Also known as: Entity Classification Election, Form 8832 Election.*

## How Check-the-Box works

Check-the-Box applies when a business entity which is not automatically treated as a corporation files Form 8832 with the Internal Revenue Service, and the election then sets whether the entity is taxed as a corporation, as a partnership or as an entity disregarded from the owner for United States federal tax purposes. Without an election, default rules apply: a domestic eligible entity is generally a partnership with two or more members or disregarded with a single owner, while a foreign eligible entity whose members all have limited liability is generally an association taxable as a corporation. An election generally cannot take effect more than 75 days before filing or later than 12 months after filing, and a change of classification generally blocks a further change by election for 60 months. The classification governs United States federal tax only, so the other country may tax the same entity differently, a mismatch which hybrid mismatch rules in some jurisdictions address.

## Check-the-Box vs Disregarded Entity (US Single-Member LLC)

Unlike a disregarded entity, which is one possible classification outcome, Check-the-Box is the election mechanism and default framework producing corporate, partnership or disregarded treatment.

## Example

Illustrative example: A United States citizen living in Country A forms a single-member company in Country B under which the owner has limited liability. Under the foreign default rule, the company would generally be an association taxable as a corporation for United States purposes, potentially a controlled foreign corporation. The owner may file Form 8832 to elect disregarded status, effective no more than 75 days before filing, while Country B generally continues taxing the company as a company under Country B law.

## Common misconception

**Myth:** Electing disregarded status on Form 8832 makes a foreign company transparent for tax purposes everywhere.

**Reality:** A Check-the-Box election changes classification for United States federal tax purposes only, and the foreign country applies its own rules to the same entity.
